We are seeking an experienced and qualified Independent Non-Executive Director (INED) to join the Ireland board of Humm. The INED will play a pivotal role in providing independent oversight, strategic guidance, and expertise to ensure effective governance and decision-making within the organisation. Key Responsibilities As an Independent Non-Executive Director, you will: Provide independent oversight and strategic guidance on corporate governance, risk management, and business performance. Participate actively in board meetings, committee meetings, and other relevant engagements, contributing insights and recommendations to drive the company's strategic objectives. Bring an external perspective to board discussions, challenging assumptions, promoting constructive debate, and ensuring decisions are made in the best interest of stakeholders. Monitor and evaluate the company's financial performance, ensuring transparency, accountability, and adherence to regulatory requirements. Engage with key stakeholders, including regulators, shareholders, customers, and employees, to understand their perspectives and concerns, and represent their interests on the board. Stay informed about industry trends, market developments, and emerging risks, providing valuable insights and recommendations to guide strategic planning and decision-making. Foster a culture of integrity, ethical behavior, and accountability throughout the organisation, leading by example and upholding the highest standards of corporate governance. Conduct regular evaluations of the board's performance, effectiveness, and composition, identifying areas for improvement and implementing appropriate measures to enhance board governance. Qualifications And Experience Extensive experience in senior leadership roles, preferably at the board level, within the financial services industry or related sectors. Strong understanding of corporate governance principles, regulatory requirements, and industry best practices. Proven track record of strategic leadership, sound judgment, and effective decision-making in complex and dynamic environments. Excellent communication, interpersonal, and negotiation skills, with the ability to build consensus and collaborate effectively with diverse stakeholders. Integrity, independence, and a commitment to upholding ethical standards and corporate values. Relevant professional qualifications, such as a degree in business, compliance, finance, law, or related fields, are highly desirable. The INED will be expected to dedicate sufficient time and effort to fulfill their duties effectively, attending board meetings, committee meetings, and other relevant engagements as required.
